Each party will bear half the arbitration fees and costs.

Choice of Law and Jurisdiction

This Agreement will be treated as if it were executed and performed in Wheaton, Illinois, and will be governed by and construed in accordance with the laws of the state of Illinois without regard to conflict of law provisions. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

You warrant that you will not use our Services to infringe on the intellectual property rights of others in any way. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating Members whom we deem, in our sole discretion, to be infringers of others’ intellectual property rights.

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

You may provide links to our Website provided that (a) you do not remove or obscure any portion of our Website by framing or otherwise, (b) your website does not engage in illegal or pornographic activities, and (c) you cease providing links to our Website immediately upon our request.

Our Website may from time to time contain links to third-party websites. Inclusion of links for any website on our Website does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites. Cornerstone Health Supply, Inc. has no control over the legal documents and privacy practices of third-party websites; you access any third-party websites at your own risk. We recommend that you review the privacy policy and terms and conditions of those websites to fully understand what information is collected and how it is used.

Product Descriptions/Typographical Errors

We try to provide accurate information and product descriptions that are given to us by the supplier of the product. However, our manufactures may update or make changes to their products without our prior knowledge, so Cornerstone Health Supply, Inc. reserves the right to make changes at any time without notice. Products may vary slightly from the representation depicted on our website.

Cornerstone Health Supply, Inc. makes no warranty implied or expressed about the accuracy of the product information, descriptions, specifications, or pricing. In the event of an incorrect product description or an error with pricing, Cornerstone Health Supply, Inc. shall have the right to refuse or cancel any orders that are placed with incorrect pricing. This applies to orders that have been confirmed, charged, or invoiced. Cornerstone Health Supply, Inc. will issue a full credit for the amount that was charged incorrectly.

Placing Orders

It is up to the Customer to verify the accuracy of all the information they provide when ordering products. Once an order has been placed, it cannot be changed. However, under some situations, orders can be modified or canceled. Cornerstone Health Supply, Inc. is not responsible for lost or misplaced orders or other errors because of inaccurate order information given by the Customer.

Taxes

Cornerstone Health Supply, Inc. will automatically charge and withhold the appropriate sales tax on all orders to be delivered to locations within the same state. Illinois, California, and North Carolina all incur a sales tax on their orders. If Customer is a school, organization, or business that qualifies as being tax exempt, we will need Customer’s federal tax-exempt certification number at time of ordering. Cornerstone Health Supply, Inc. must have Customer’s federal tax-exempt certificate on file for Customer to qualify for the exemption. Without a federal tax-exempt certificate, Customer is solely responsible for all sales taxes or any other taxes that might apply.

Shipping Orders and Restrictions

We reserve the right to restrict shipping orders to the Continental US, Hawaii, and Alaska. All orders must include either a school, business, organization, or residential ship-to address. Orders placed using a P.O. Box, FPO, or APO shipping address may not be processed if determined product or products cannot be shipped to these locations.

Most orders will ship within two business days upon receipt of order. This does depend on product availability. Shipping times will vary depending on Customer’s state and location. For direct ship products (that ship direct from manufacturers), please allow approximately 3-4 weeks for delivery.

We process all Gatorade^® High School Performance Package orders received by 3:00 p.m. CST that same day. Having said this, please allow at least 10 business days for delivery of all orders. This is the standard Gatorade^® lead time that Gatorade^® gives for all Gatorade^® High School Performance Package orders.

We cannot guarantee when an order will arrive at the Customer’s location. All shipping/transit times that are provided by Cornerstone Health Supply, Inc. or our suppliers are estimated times. To ensure that the Customer receives Customer’s product at Customer’s desired time, we strongly encourage Customer to place Customer’s orders as early as possible.

Shipping and Handling Charges

Customer agrees to pay all shipping and handling charges for the products Customer buys from Cornerstone Health Supply, Inc. Customer is responsible for all shipping charges for any products that are returned or refused by Customer. Extremely heavy or odd-sized products may require an extra shipping charge. In such cases, Customer’s order will not ship until Customer has approved the extra shipping charges.

We are not responsible for products damaged in shipping or defective products. The limit of Cornerstone Health Supply, Inc. liability is the replacement cost for any product Customer buys from us.

Gatorade^® High School Performance Packages are the only exception to these shipping terms. All Gatorade^® High School Performance Packages as listed on our website include shipping costs. There are no shipping costs for these packages.

Return or Cancellation of Products

Please contact our customer service department at Cornerstone Health Supply, Inc. for all returns or cancellations. Either call (877) 910-4519 or email us at customerservice@cornerstonehealthsupply.com. All returns are subject to review by Cornerstone Health Supply, Inc. before any credit will be issued. Credit will be issued after it has been determined that product or products have not been opened or used and are in resalable condition.

Customer Service will provide Customer with a return authorization number as well as instructions on how to return products. Customer will be responsible for cost of return shipment. Exceptions to this is if it is determined that the product or products are damaged or if customer received product or products in error by Cornerstone Health Supply, Inc. or by one of Cornerstone Health Supply, Inc. suppliers. No shipping charges will be incurred by customer under these three exceptions. Returns other than the exceptions mentioned above, may incur a restocking fee of 15% per product or products that are returned. This fee is based off Cornerstone Health Supply, Inc. website list prices.

Each one of Cornerstone Health Supply, Inc. suppliers has a different return policy. The Customer is responsible for reading and obeying the return policy of any supplier they buy a product from. Failing to do so could result in the returned product being rejected.

Backorders, Shortages, or Out-of-Stock Products

It is the goal of Cornerstone Health Supply, Inc. to make sure every order ships completed. Typically, we have a two-business day turnaround on shipping of orders from time of receipt of order. There are times, however, when a product or products that Customer has ordered cannot be fulfilled due to a backorder, shortage, or being out-of-stock. We will ship all available products and all other products as they become available. We will do our best to make sure Customer is informed of any long delays that are out of our control. Customer can cancel Customer’s order any time before it has shipped. The only exception to this is with Gatorade^® Performance Packages. Gatorade^® Performance Packages cannot be cancelled after any components have shipped partially or completely.

Termination of Membership

Your membership with us is effective until terminated by you or us. Your rights under these Terms and Conditions will terminate without our notice if you fail to comply with any term of these Terms and Conditions. Upon termination, you will stop representing yourself as a registered Member or Client. You must delete or destroy any information or content (including all copies) obtained from our Website. Certain provisions of this Agreement, including, but not limited to, copyrights, indemnity, trademarks, limitation of liability, warranty, and jurisdictional issues will survive the termination of this Agreement.

Indemnification

You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of our Website or Services.

Severability and Survival

Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect. To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement will take precedence. Our failure to enforce any provision of this Agreement will not be deemed a waiver of such a provision, nor of the right to enforce such a provision. Our rights under this Agreement will survive any termination of this Agreement.

Changes to Our Terms and Conditions

We reserve the right to change these Terms and Conditions at any time by giving you advance notice of the changes by email or in writing. We will also post these changes on our website. These changes will become effective 30 days after receipt of the notice. To avoid doubt, no unilateral amendment will retroactively change agreed dispute-resolution provisions of these Terms and Conditions, if any, including, for example, arbitration provisions for then-pending disputes unless the parties expressly agree otherwise. Your continued use of our Website, Services, and Products after any change to these Terms and Conditions and our notifying you will constitute your acceptance of such change. If you do not agree with the changes to these Terms and Conditions, you can choose to discontinue the use of our Website, Services, and Products.
